1. Acceptance of Terms

By accessing or using PartnerMesh.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (or the organization you represent) and PartnerMesh, Inc. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to do so.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

PartnerMesh provides a partner intelligence platform that enables B2B companies to discover account overlaps, manage partner relationships, coordinate co-selling motions, and track joint pipeline.

The Service includes integrations with CRM platforms, overlap detection algorithms, partner management tools, and analytics dashboards. The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We are not liable to you or any third party for any modifications, suspensions, or discontinuations.

3. User Accounts

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information when creating your account, and to update that information as necessary.

You must notify us immediately of any unauthorized use of your account or any other security breach. You may not share credentials with others or use automated means to create accounts.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, crawl, or otherwise extract data from the Service without authorization
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to build a substantially similar competing product

5. Intellectual Property

The Service and all related technology, including software, algorithms, interfaces, logos, and documentation, are owned by PartnerMesh and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

You retain ownership of all data you upload to or generate within the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNERMESH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability to you for any claims shall not exceed the greater of (a) the amounts paid by you to PartnerMesh in the 12 months preceding the claim, or (b) $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

7. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service immediately ceases.

We may suspend or terminate your access to the Service at any time, with or without cause. We will provide reasonable notice where feasible unless termination is due to a material breach.

Upon termination, we will retain your data for 30 days to allow export, after which it will be permanently deleted unless we are legally required to retain it longer.

8. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
